1. Agreement to These Terms

This website, yangmee.com (the "Site"), is owned and operated by Visionary Branding, LLC, a Colorado limited liability company ("VGS," "we," "us," or "our"). The Site presents the Visionary Global Strategies brand and related offerings.

All contracts, obligations, rights, and liabilities described in these Terms are those of Visionary Branding, LLC.

By accessing or using the Site, you agree to be bound by these Terms of Use (the "Terms") and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.

We may modify these Terms at any time. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Site. By using the Site, you represent that you meet these requirements. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Informational Purposes Only; No Professional Relationship

All content on the Site, including articles, guides, templates, case studies, videos, checklists, and downloadable resources, is provided for general informational and educational purposes only.

Nothing on this Site constitutes:

  • —Tax, accounting, or financial advice
  • —Investment advice
  • —Compliance or regulatory advice
  • —A guarantee, warranty, or prediction of any outcome

Accessing the Site, downloading a resource, subscribing to communications, or requesting a consultation does not create a consultant-client, advisory, fiduciary, or professional relationship of any kind. A professional relationship with VGS is formed only upon execution of a written agreement signed by both parties.

You should consult a licensed attorney, certified public accountant, or other qualified professional before acting on any information found on this Site.

4. No Guarantee of Grant Awards or Funding Outcomes

VGS provides grant strategy, grant writing management, project management, and capacity-building services. Funding decisions rest solely with grantmaking agencies, foundations, and other third-party funders.

VGS does not and cannot guarantee that any application, proposal, or submission will result in an award, and makes no representation regarding award amounts, timelines, or approval likelihood. Any past results, success rates, or case studies referenced on the Site describe specific prior engagements and are not a promise or prediction of future results.

Consistent with federal cost principles, VGS does not offer or accept contingency-based, percentage-of-award, or success-fee compensation for services related to federally funded grant applications. Fees are based on scope, deliverables, or time, as set out in a written agreement.

5. Training, Certification, and Program Content

Where the Site describes training programs, cohorts, courses, or credentials, including the Certified Community Grant Professional (CCGP) program:

  • —Such programs are proprietary offerings of VGS. They are not accredited by, endorsed by, or affiliated with any government agency, licensing board, accrediting body, or academic institution unless expressly stated in writing.
  • —Completion of a program confers a certificate of completion from VGS only. It does not constitute a professional license, government certification, or legally recognized credential.
  • —Enrollment, tuition, refund, cancellation, and intellectual property terms for paid programs are governed by the separate program agreement or checkout terms presented at the time of purchase. In the event of a conflict, that agreement controls with respect to the program.

6. Software, Tools, and Platform Access

Where the Site provides access to or information about software tools or platforms operated by VGS, including Apex Optima:

  • —Access is subject to separate subscription terms, an end user license agreement, or checkout terms presented at the time of registration or purchase.
  • —Any outputs, recommendations, scores, matches, or analyses generated by such tools are informational aids only. You remain solely responsible for verifying eligibility requirements, deadlines, compliance obligations, and the accuracy of any submission you make to a funder.
  • —VGS does not warrant that any tool output is complete, current, error-free, or suitable for a particular funding opportunity.

7. Paid Services and Engagements

Descriptions of consulting services on the Site are marketing summaries and do not constitute an offer to contract. All paid engagements are governed exclusively by a separately executed proposal, statement of work, service agreement, or master services agreement. In the event of any conflict between the Site and an executed agreement, the executed agreement controls.

Quoted rates, packages, and availability shown on the Site are subject to change without notice and are not binding until confirmed in writing.

8. Intellectual Property

All content on the Site, including text, graphics, logos, brand names, images, video, audio, course materials, templates, frameworks, methodologies, software, and the selection and arrangement of that content, is owned by VGS or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

"Visionary Branding," "Visionary Global Strategies," "Apex Optima," "Certified Community Grant Professional," "CCGP," and "Write It. Pitch It. Fund It." are names, marks, and brands owned by Visionary Branding, LLC.

Limited license. You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business use. You may not:

  • —Reproduce, republish, distribute, sell, license, or commercially exploit any Site content
  • —Copy, adapt, or repackage templates, frameworks, or course materials for resale or third-party training
  • —Use any automated system, scraper, bot, or data-mining tool to access or extract Site content
  • —Use Site content to train, fine-tune, or develop any machine learning or artificial intelligence model
  • —Remove, obscure, or alter any copyright, trademark, or proprietary notice
  • —Use our names, marks, or logos without prior written permission

All rights not expressly granted are reserved.

9. Prohibited Conduct

You agree not to:

  • —Use the Site for any unlawful purpose or in violation of any applicable law or regulation
  • —Attempt to gain unauthorized access to the Site, its servers, or any connected system
  • —Introduce viruses, malware, or other harmful code
  • —Interfere with, disrupt, or place undue load on the Site or its infrastructure
  • —Impersonate any person or entity or misrepresent your affiliation

We may suspend or terminate your access at any time, without notice, for any reason, including suspected violation of these Terms.

10. User Submissions

If you submit content to the Site, including inquiries, form responses, comments, testimonials, documents, or other materials ("Submissions"):

  • —You represent that you own or have all necessary rights to the Submission and that it does not infringe any third-party rights or violate any confidentiality obligation
  • —You grant VGS a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and display the Submission in connection with operating and promoting our business
  • —Submissions are not confidential. Do not send confidential, proprietary, protected health information, personally sensitive, or privileged material through the Site. Use an executed confidentiality agreement and a secure channel for such material.
  • —We may remove or decline to use any Submission at our sole discretion

11. Third-Party Links and Services

The Site may contain links to third-party websites, funding portals, tools, or resources. These are provided for convenience only. VGS does not control, endorse, or assume responsibility for the content, accuracy, availability, privacy practices, or terms of any third-party site or service. Your use of third-party sites is at your own risk and subject to their terms.

12. Communications and Consent

By providing your email address, you consent to receive transactional and, where you have opted in, marketing communications from VGS. You may unsubscribe from marketing emails at any time using the link in each message. We may still send transactional messages related to an active engagement or purchase.

If you provide a mobile number and opt in to text messages, message and data rates may apply. Reply STOP to opt out.

13. Disclaimer of Warranties

THE SITE AND ALL CONTENT, TOOLS, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, VGS disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

VGS does not warrant that the Site will be uninterrupted, secure, timely, or error-free; that defects will be corrected; that the Site is free of viruses or harmful components; or that any content, deadline, eligibility criterion, or funding opportunity described on the Site is accurate, complete, or current.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the maximum extent permitted.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VGS AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, FUNDING, GRANT AWARDS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF VGS ARISING OUT OF OR RELATED TO THE SITE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VGS FOR SITE ACCESS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

This limitation applies to Site use only. Liability under an executed services agreement is governed by that agreement.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless VGS and its owners, members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any Submission you provide.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. You agree that any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in [Adams County / Denver County], Colorado, and you consent to personal jurisdiction and venue in those courts.

17. Dispute Resolution

Before filing any claim, the parties agree to attempt in good faith to resolve the dispute through direct negotiation for at least thirty (30) days after written notice of the dispute.

If unresolved, the parties agree to submit the dispute to non-binding mediation in Colorado before initiating litigation, with mediation costs shared equally.

Class action waiver. To the extent permitted by law, you agree that any dispute will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

18. Severability, Waiver, and Entire Agreement

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.

Our failure to enforce any provision is not a waiver of that provision or any other.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VGS regarding the Site and supersede all prior understandings regarding the Site.

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
